When navigating the authentication wizard for Microsoft and the key doesn't work, choose the option to call Microsoft. Choose your state and a number will appear. Call the number, a computer guide will ask for the installation numbers, then if rejected gives an option to talk with a representative. Choose this option and the rep will ask for the first numbers of the installation numbers and asks a few questions. Then he/she will give you a series of numbers to enter in the boxes in the wizard and the OS will be valid. I wouldn't go to any expense until trying this alternative.
References :
I'm no computer genius, mind you, but I can tell you the differences from my experiences in Layman's terms.

Vista is graphically superior. It has a lot of gadgets and gizmos that can tell you the weather, how much memory your PC uses, track stocks, and a lot of other things right on your desktop. If you've only used XP, the menus in vista will be confusing after awhile. Vista, from my experience, is a lot more secure. It has User Account Control (UAC) that will ask you questions about programs that open, and whether you want them to or not. This can get intrusive at times, but it can easily be disabled via your Control Panel.

XP is less stylistic, and easier to use for a new/average PC user. It also uses less system memory to run, which, basically means a faster OS. I've had an XP machine for 5 years, and a Vista one for about 4 months, and in that short time, I can easily say I prefer the Vista one.

A lot of the gripe people give Vista, just doesn't occur with my usage. I don't know why. Perhaps it's because they don't have sufficient memory to run it smoothly, or just don't know how to run a computer, but if you've got 2gigs or more, you can go Vista with no problems. If you have less, I would suggest paying the extra $20 for XP to save your PC from running like a snail from all Vista's extra features.
References :
PC owner for uh... well, as long as I can remember. :P

Windows XP Professional. It has fewer problems and runs faster; it has been around for years and is very stable and secure. Vista has been a tremendous commercial failure and will soon be replaced by Windows 7.

That's my personal take because I like running systems that have proven themselves over time, while letting others be the pioneers who have to spend hours fixing problems on their systems. But it's up to you.
References :
Depends on the PC. Vista needs a very good spec. if you want to get the most out of it.
